Terms of Service

Effective date: 19 October 2026

1. Acceptance of Terms

Respondly is a product of Reofex Technologies, a sole proprietorship based in India ("Respondly", "Reofex Technologies", "we", "us", or "our").

By accessing or using the Respondlyplatform ("Service"), creating an account, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not use the Service.

If you are entering into these Terms on behalf of a business or legal entity, you represent that you have the authority to bind that entity. These Terms apply to all users of the Service including business owners and their representatives.

2. Description of Service

Respondlyprovides an AI-powered lead capture and conversion platform ("Service") that enables businesses to deploy WhatsApp-based chatbots, manage leads, and automate customer engagement. The Service includes:

  • AI conversation management via WhatsApp (powered by OpenAI and Meta Cloud API)
  • Lead tracking and qualification dashboard
  • Property/listing management for real estate businesses
  • Usage analytics and reporting
  • Integration with Google Sheets for lead syncing
  • Website chat widget embed

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service you must register an account with accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at info@reofex.com if you suspect any unauthorised access.

You must be at least 18 years of age and legally authorised to operate a business in your jurisdiction to register. Accounts representing fraudulent or illegal businesses will be terminated without notice.

4. Free Trial

Every new account, in India and internationally, starts with a 7-day free trial. No plan choice and no payment method are needed to start it. During the trial:

  • You can connect your channels and your assistant can reply to real customers straight away.
  • Usage is limited to the trial allowance shown in your dashboard (AI replies, leads saved and paid orders). Extra AI credits and on-demand wallet charges are not available during the trial.
  • You can choose a plan and set up payment at any time from the Billing page.

Customers in India (Razorpay): if you set up payment during the trial, your payment method is authorised then and your first subscription payment is collected when the trial ends. If you choose to start your plan immediately, you are charged on that day.

International customers (Paddle): the first billing period is charged at checkout. If you check out during the trial, your first renewal date is moved back by the trial days remaining, so you are not charged for trial days.

If the trial ends without a plan, your assistant stops replying until you choose one. Your setup and leads are kept. Nothing is charged automatically unless you have set up payment.

Respondly reserves the right to modify or end the free trial offer at any time. Only one free trial is available per business entity, WhatsApp number or Instagram account.

5. Subscription & Billing

After the free trial (where applicable), the Service is billed on a monthly recurring subscription basis. Customers in India are billed in INR via Razorpay; customers outside India are billed in USD via Paddle.com, who acts as the Merchant of Record and seller for those transactions. By continuing past the trial, you authorise Respondly (or Paddle, for international customers) to charge your payment method each month until your subscription is cancelled.

  • Plan changes: You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle or immediately for upgrades.
  • Cancellation: You may cancel your subscription at any time from the Billing page in your dashboard. Cancellation takes effect at the end of the current billing period.
  • Failed payments: If a payment fails, your payment provider will retry according to its own retry policy. Access may be suspended after repeated failed payments.
  • Pricing changes: We will notify you at least 30 days in advance of any price changes.

6. Refund Policy

Subscription fees are billed in advance for each billing period and are non-refundable for partial months — cancelling mid-cycle stops future billing but does not refund the days already paid for in the current period. AI Credit Packs (one-time top-ups) are non-refundable and do not expire.

International customers billed via Paddle are additionally covered by Paddle's own buyer protections as Merchant of Record for those transactions. Violation of acceptable use policies may result in immediate account termination without refund.

7. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or engage in phishing or fraud
  • Violate WhatsApp's Terms of Service, Business Policy, or Messaging Guidelines
  • Harass, threaten, or harm any individual
  • Distribute malware, viruses, or any malicious code
  • Scrape or reverse-engineer any part of the Service
  • Exceed usage limits or circumvent rate limits or quotas
  • Collect or process personal data in violation of applicable law
  • Impersonate any person or entity

Violation of acceptable use policies may result in immediate account termination without refund.

8. WhatsApp & Third-Party Services

The Service integrates with WhatsApp (via Meta Cloud API), OpenAI, Razorpay, and Google Sheets. Your use of these integrations is also subject to the respective third-party terms of service. Respondly is not responsible for service interruptions, policy changes, or data handling by these third parties.

You are solely responsible for obtaining any necessary consents from your customers (leads) before communicating with them via WhatsApp, and for complying with all applicable messaging laws including the TRAI Telecom Commercial Communications Customer Preference Regulations and any local equivalents.

9. Data & Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you upload or collect through the Service ("Your Data"). By using the Service, you grant Respondly a limited licence to process Your Data solely to provide and improve the Service.

Upon account termination, we will retain Your Data for 30 days to allow export, after which it will be permanently deleted unless required by law.

To help you set up and use the Service, authorised Respondly support staff may access your account dashboard. Every such access is time-limited and recorded. Support staff cannot make payments, change your login details, connect or disconnect your accounts, or message your customers on your behalf.

10. Intellectual Property

Respondly and its licensors own all intellectual property rights in the Service, including but not limited to software, design, trademarks, and documentation. Nothing in these Terms transfers any IP rights to you. You may not copy, modify, distribute, or create derivative works of any part of the Service without our written permission.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Respondly does not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will be accurate or suitable for your business.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Respondly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid to Respondly in the three months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Respondly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

Either party may terminate the relationship under these Terms at any time. You may terminate by cancelling your subscription and deleting your account. Respondly may terminate or suspend your account immediately for breach of these Terms, non-payment, or violation of applicable law.

Upon termination, your right to use the Service ceases immediately. Sections 8, 9, 10, 11, 12, and 15 survive termination.

15. Changes to Terms

We may update these Terms from time to time. We will notify you by email or an in-app notice at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India. We encourage you to contact us first to resolve any dispute informally.
